Terms of Service

Effective date: October 19, 2026

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your use of globaldigitaldtp.com (the “Website”) and any desktop publishing, typesetting, layout, formatting, conversion, design, or related services provided by Global Digital DTP (“we,” “us,” or “our”) (the “Services”). By using the Website or placing an order, you agree to these Terms. If you do not agree, please do not use the Website or the Services.

If you use the Services on behalf of a company or organization, you confirm that you have authority to bind it, and “you” refers to both you and that entity.

2. Our Services

Our Services may include page layout, typesetting, formatting, graphic design, file conversion, eBook and PDF preparation, and related production support. The scope, deliverables, file formats, timelines, and price of each project are set out in a written quote, proposal, work order, or confirmation (an “Order”).

We may modify, suspend, or discontinue any part of the Website or Services at any time. Website descriptions are for general information and are not a binding offer.

3. Order of Precedence

Where you and we have signed a master services agreement or statement of work, that document prevails over these Terms to the extent of any conflict. These Terms apply to the Website and to all Orders that have no separate signed agreement.

4. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, and legally able to enter into a contract. You are responsible for keeping any login or shared-folder credentials confidential and for all activity under them. Notify us promptly of any unauthorized use.

5. Quotes, Orders, and Project Scope

  • Quotes are estimates based on the information and sample files you provide. We may revise a quote if the actual files, page count, complexity, or requirements differ from what was described.
  • An Order becomes binding when you accept our quote in writing (including by email) or when we begin work after receiving any required advance payment.
  • Work outside the agreed scope, such as extra pages, new languages, redesigns, or additional file formats, is a change request and may be charged separately.
  • Rush or expedited work may be subject to a surcharge, agreed in writing before work starts.

6. Client Responsibilities and Materials

You agree to:

  1. Provide complete, accurate, and legible source files, content, images, fonts, and instructions on time.
  2. Confirm that you own, or have all necessary rights and permissions to use, everything you give us, including text, images, logos, fonts, and data.
  3. Review proofs and deliverables promptly and give approvals or corrections in writing.
  4. Keep your own backup copies of all materials. We are not responsible for the loss of originals you send us.

We are not responsible for errors, omissions, or inconsistencies in your source content that are carried into the final output, including spelling, factual, or translation errors, unless proofreading is expressly included in the Order. Delays caused by late or incomplete materials or late feedback may extend deadlines and increase fees.

7. Fees, Payment, and Taxes

  • Fees are stated in the applicable quote or Order, in the currency specified. Unless stated otherwise, fees exclude taxes, bank charges, and transfer fees.
  • We may require a deposit or full advance payment before starting work. Balances are due by the date on the invoice, or within [30] days of the invoice date if none is stated.
  • Late payments may incur interest at a rate permitted by law.
  • You are responsible for all applicable taxes, including GST, VAT, sales tax, and withholding taxes (such as TDS). If you are required to withhold tax, you must pay the grossed-up amount unless we agree otherwise in writing and you provide the relevant tax certificate.
  • Right to suspend and hold files: we may pause work and withhold final and editable files until all amounts due have been paid in full.

8. Revisions, Delivery, and Acceptance

Each Order includes the number of revision rounds stated in the quote. If none is stated, we will correct errors on our part at no extra charge. Additional rounds, or changes beyond correcting our errors, may be billed at our then-current rates.

Deliverables are deemed accepted if you do not report a material issue in writing within [seven (7)] days of delivery. Final editable and source files are released only after full payment.

9. Turnaround Times

Timelines are estimates, not guarantees. They depend on timely receipt of complete materials, prompt feedback, and project complexity. We are not liable for delays caused by late content, delayed approvals, change requests, or events beyond our reasonable control.

10. Force Majeure

Neither party is liable for failure or delay in performing its obligations (other than payment) caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic, war, civil unrest, government action, power or internet outages, cyberattacks, or failures of third-party services. The affected party will notify the other promptly and resume performance as soon as reasonably possible. If the event continues for more than [30] days, either party may terminate the affected Order, and you will pay for work completed up to that date.

11. Confidentiality

We will treat your non-public materials and business information as confidential, use them only to perform the Services, and not disclose them except to employees, freelancers, or contractors who need access to deliver the Services and are bound by written confidentiality obligations. This does not apply to information that is publicly available, already known to us, independently developed, or required to be disclosed by law.

If you require a mutual non-disclosure agreement, please contact us before sharing files. Where a signed NDA exists, it prevails to the extent of any conflict with this section.

12. Data Protection, Security, and Retention

  • We use reasonable technical and organizational measures to protect your files, such as encrypted transfer where available, access-controlled storage, and limiting access to personnel who need it.
  • If your files contain personal data, you confirm you have the right to share it with us, and we will process it only to provide the Services and in line with applicable data protection laws, including India’s Digital Personal Data Protection Act, 2023 and, where relevant, the GDPR. A data processing agreement is available on request.
  • We may transfer files across borders and use cloud storage providers as needed to deliver the Services, subject to appropriate safeguards.
  • Retention: we keep project files for [60–90] days after final delivery, after which they are securely deleted unless you ask for earlier deletion or longer storage in writing. We may keep records required by law, such as invoices.
  • No system is completely secure. We will notify you without undue delay if we become aware of a security incident that affects your files.

13. Subcontractors

We may use freelancers, vendors, and subcontractors to perform part of the Services. All subcontractors with access to your materials are bound by confidentiality and data protection obligations no less protective than these Terms. We remain responsible for their performance.

14. Use of AI and Machine Translation Tools

  • We may use software tools, including AI-assisted and machine translation tools, to support some Services. The Order will state where such tools form part of the deliverable (for example, machine translation with post-editing).
  • We will not submit your confidential content to public AI tools, and we will not use your content to train AI models, without your written consent.
  • AI or machine-generated output can contain errors. Unless human review is expressly included in the Order, such output is provided without any guarantee of accuracy.

15. Intellectual Property

Your content. You retain ownership of all content and materials you provide. You grant us a limited, non-exclusive license to use, reproduce, and modify them solely to perform the Services.

Deliverables. Upon full payment, you receive the right to use the final deliverables for the purpose described in the Order. Unless agreed otherwise in writing, we retain ownership of our pre-existing tools, templates, styles, scripts, workflows, and know-how, and grant you a license to use them as embedded in the deliverables. Any translation memory or terminology database you pay for as a dedicated deliverable belongs to you.

Portfolio and publicity. Unless you tell us otherwise in writing, we may reference the project in general terms. We will not publish confidential or unreleased content, or use your name or logo in a case study, without your permission.

Website content. The text, graphics, logos, and design of the Website belong to or are licensed to Global Digital DTP and may not be copied or reused without our written consent.

16. Third-Party Materials, Fonts, and Software

Projects may involve third-party fonts, stock images, plugins, or software. Unless we agree otherwise, you are responsible for licensing any third-party assets required for your intended use. We will tell you if a project needs a license we cannot provide.

17. Quality Limits and Regulated Content

  • Language, design, and style involve subjective judgment. Differences of preference are not defects unless the deliverable departs from the agreed specification.
  • Unless expressly agreed in the Order, our Services are not certified translation, legal, medical, financial, or other professional advice, and are not a substitute for review by a qualified professional where required.
  • If we provide accessibility remediation (for example tagging PDFs for WCAG or PDF/UA), we apply the standards stated in the Order, but we do not guarantee legal compliance or that every assistive technology will render the file perfectly.
  • We do not guarantee that deliverables will display or print identically across all devices, software versions, or print processes.

18. Cancellation and Refunds

You may cancel an Order by written notice. If work has started, you agree to pay for work completed up to the cancellation date, plus any non-recoverable costs. Deposits are non-refundable once work has begun, except where we fail to deliver the agreed Services. Refunds for delivered work are considered case by case where the deliverables materially fail to meet the agreed specifications and we have had a reasonable opportunity to correct them. If a defective deliverable cannot be corrected, we may at our option redo the work or refund the fees paid for that deliverable, as the exclusive remedy.

19. Warranties and Disclaimer

We perform the Services with reasonable skill and care and in line with the agreed scope. Except as expressly stated in these Terms, the Website and Services are provided “as is” and “as available,” and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Website will be uninterrupted or error-free.

20. Limitation of Liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, or goodwill. Our total liability for any claim relating to the Services will not exceed the fees paid or payable for the specific project giving rise to the claim, except for gross negligence, willful misconduct, breach of confidentiality, or any liability that cannot be limited by law.

21. Indemnification

You agree to indemnify and hold harmless Global Digital DTP and its owners, employees, and contractors from third-party claims, damages, losses, and expenses (including reasonable legal fees) arising from the materials you provide, your breach of these Terms, or your violation of any law or third-party right. We will give prompt written notice of any claim and reasonable cooperation in its defense.

22. Acceptable Use and Website Security

You agree not to:

  • Use the Website for any unlawful, fraudulent, or harmful purpose.
  • Upload content that is infringing, defamatory, obscene, or that contains malware or viruses.
  • Attempt to gain unauthorized access to the Website, our systems, or other users’ data, or probe or test their security.
  • Interfere with the Website’s operation, scrape it at disruptive volumes, or reverse engineer any part of it.

We may restrict file types and sizes, scan uploads for malware, and refuse or cancel work and restrict access if we reasonably believe these Terms have been breached or content is unlawful. The Website may use cookies and similar tools as described in our Privacy Policy. Links to third-party sites are provided for convenience; we do not control and are not responsible for their content or practices.

23. Privacy

We collect and use personal information as described in our Privacy Policy [Privacy Policy]. By using the Website or Services, you consent to that collection and use.

24. Non-Solicitation

During an Order and for [12] months afterwards, you agree not to directly solicit for employment or engagement any of our employees or contractors who worked on your project, without our written consent. General job advertisements not targeted at our staff are not a breach.

25. Termination

Either party may terminate an Order for material breach by the other that remains uncured [30] days after written notice. Either party may terminate for convenience on written notice, with the client paying for work performed to the termination date and for any non-cancellable commitments. We may suspend or end your access to the Website or Services at any time if you breach these Terms. Obligations already accrued, including payment, confidentiality, intellectual property, disclaimers, limitation of liability, and indemnification, survive termination.

26. Governing Law and Disputes

These Terms are governed by the laws of [National Capital Territory (NCT) of Delhi/India], without regard to conflict-of-law rules. The parties will first try to resolve any dispute in good faith by direct discussion for [30] days, and then by mediation if either party requests it. If the dispute is not resolved, it will be subject to the exclusive jurisdiction of the courts of [New Delhi, National Capital Territory (NCT) of Delhi/India], unless a signed agreement provides for arbitration or applicable law requires otherwise.

27. Notices

Notices under these Terms must be in writing and sent to the email or postal address given in an Order or in the Contact section below. Email notices are treated as received on the next business day after sending, unless a delivery failure message is received.

28. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Continued use of the Website or Services after changes take effect means you accept the revised Terms. For Orders already in progress, the Terms in effect when the Order was accepted apply unless both parties agree otherwise.

29. General

These Terms, together with any Order, are the entire agreement between you and us regarding the Services and replace prior understandings. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a business transfer. Each party must comply with applicable anti-bribery, sanctions, and export control laws. By placing an Order or using the Website, you agree to these Terms electronically.
